Terms and Conditions

These terms and conditions ("Agreement") govern your access to and use of the mobile application "Practice Prescriptions" (the "App"), created by Practice Prescriptions, LLC ("Company"). By downloading, installing, or using the App, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you may not use the App.

**1. App License**

1.1 License Grant: Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App for your personal, non-commercial use on a mobile device owned or controlled by you.

1.2 Restrictions: You agree not to:

(a) Modify, adapt, translate, reverse engineer, decompile, disassemble or create derivative works based on the App;

(b) Remove, alter or obscure any proprietary notice or label displayed on or within the App;

(d) Use the App in a way that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the App or its features;

(e) Use the App to transmit any viruses, malware, or other malicious code or engage in any other activity that may damage, disable, or impair the App;

(f) Access or use the App in any manner that could damage, disable, overburden, or impair any server or network(s) connected to any server maintained by the Company or its affiliates;

(g) Collect or harvest any personally identifiable information, including account names, from the App;

(h) Create or attempt to create a substitute or similar service or product through the use of or access to the App;

(i) Use the App for any commercial purpose without prior written consent from the Company.

**2. Intellectual Property Rights**

2.1 App Ownership: The App, including all content, visual interfaces, interactive features, information, graphics, design, compilation, computer code, products, software, and all other elements of the App are owned by the Company and are protected by intellectual property laws.

2.2 App Libraries: Any content created, uploaded, or stored within the App Libraries, including but not limited to text, images, documents, templates, and other materials, shall be the exclusive property of Practice Prescriptions, LLC. By using the App and its Libraries, you acknowledge and agree that any content you create or upload becomes the property of the Company.

**3. User Content**

3.1 Responsibility: You are solely responsible for any content you create, upload, transmit, or otherwise make available through the App, including compliance with any applicable laws or regulations.

3.2 Permissions: By creating and uploading content, you grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such content in connection with the operation and promotion of the App.

**4. Privacy**

4.1 Privacy Policy: Your privacy is important to us. The collection and use of your personal information are governed by our Privacy Policy, which is available at:

By using the App, you consent to the collection and use of your personal information as described in the Privacy Policy.

**5. Disclaimer of Warranties**

5.1 No Warranty: The App is provided on an "as is" and "as available" basis, without any warranties of any kind, whether express or implied. The Company disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

**6. Limitation of Liability**

6.1 Disclaimer: In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the App, even if advised of the possibility of such damages.

**7. Indemnification**

7.1 Indemnity: You agree to indemnify and hold the Company and its affiliates, directors, officers, employees, and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the App or your violation of this Agreement.

**8. Modification and Termination**

8.1 Modification: The Company reserves the right, at its sole discretion, to modify or replace this Agreement at any time. The most current version of this Agreement will be posted on the App. By continuing to use the App after any revisions to this Agreement, you agree to be bound by the revised terms.

8.2 Termination: The Company may, in its sole discretion, suspend, disable, or terminate your access to the App at any time and for any reason without prior notice or liability.

**9. Governing Law**

9.1 Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where the Company is located, without regard to its conflict of laws principles.

**10. Entire Agreement**

10.1 Entire Agreement: This Agreement constitutes the entire agreement between you and the Company regarding your use of the App and supersedes any prior or contemporaneous agreements, communications, or proposals, whether oral or written, between you and the Company.

By using the "Practice Prescriptions" App, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of this Agreement, please refrain from using the App.
